AFS Transport Terms and Conditions of Carriage
1. Definitions:
1.1 "Carrier" refers to AFS Transport, a licensed trucking company operating in British Columbia.
1.2 "Shipper" refers to the party engaging the services of the Carrier for the transportation of goods.
1.3 "Consignment" refers to the goods being transported by the Carrier.
1.4 "Freight" refers to the compensation payable by the Shipper for the transportation services provided by the Carrier.
2. Scope of Services:
2.1 The Carrier agrees to provide pickup, transportation, and delivery services for the Consignment as instructed by the Shipper.
2.2 The Carrier reserves the right to subcontract any or all of the transportation services required.
3. Freight Charges and Payment Terms:
3.1 The Shipper shall pay the Carrier the agreed-upon Freight charges for the transportation services rendered.
3.2 Payment terms can be discussed according to your needs.
3.3 In the event of non-payment or late payment, the Carrier reserves the right to charge interest or impose late payment fees as permitted by law.
4. Liability and Insurance:
4.1 The Carrier shall exercise reasonable care in the transportation of the Consignment but shall not be liable for loss, damage, or delay arising from circumstances beyond its control.
4.2 The Carrier's liability for loss or damage to the Consignment shall be limited to $2.00 CAD per pound.
4.3 The Shipper is responsible for obtaining insurance coverage for the Consignment, and the Carrier shall not be liable for any uninsured losses.
5. Claims and Dispute Resolution:
5.1 Any claims for loss, damage, or delay must be submitted in writing to the Carrier within 30 days.
5.2 The Carrier shall not be liable for any claims that are not properly documented or exceed the time limits specified.
6. Loading and Unloading:
6.1 The Shipper is responsible for properly packaging, labeling, and preparing the Consignment for safe transportation.
6.2 The Carrier shall not be responsible for loading or unloading the Consignment unless explicitly agreed upon in writing or as required by law.
7. Delays and Force Majeure:
7.1 The Carrier shall make reasonable efforts to transport the Consignment within the agreed-upon timeframe.
7.2 The Carrier shall not be liable for any delays or disruptions caused by events beyond its reasonable control, including but not limited to acts of nature, accidents, labor disputes, or government actions.
8. Termination:
8.1 Either party may terminate this agreement by providing written notice to the other party.
8.2 Termination shall not relieve either party from fulfilling any obligations incurred prior to the termination date.
9. Confidentiality and Intellectual Property:
9.1 Both parties agree to keep confidential any information disclosed during the course of this agreement and not to disclose it to third parties without prior written consent.
9.2 The Carrier acknowledges that all intellectual property rights relating to the Consignment remain with the Shipper.
10. Governing Law and Jurisdiction:
This agreement shall be governed by and construed in accordance with the laws of the province of British Columbia. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.
